UNI Terms of Service

Welcome to UNI ("we," "us," or "our"). By downloading, accessing, or using the UNI app, website, or any related services (collectively, the "Platform"), you agree to these Terms of Service ("Terms"). Please read them carefully — they form a legally binding agreement between you and UNI.


1. Acceptance of Terms

By creating an account or using UNI, you confirm that:

  • You are at least 18 years old;
  • You have read, understood, and agree to these Terms;
  • You will use the Platform only for lawful purposes.

If you do not agree, do not use UNI. Seriously. We mean it.


2. Description of Service

UNI is a real-world discovery platform that helps users explore events, places, and activities through personalized AI systems (including ACE and Social DNA). We may update or modify features, content, or design without prior notice — innovation waits for no one.


3. User Accounts

To use certain features, you must create an account. You are responsible for:

  • Maintaining the confidentiality of your login credentials.
  • Ensuring information you provide is accurate and up to date.
  • All activities that occur under your account.

UNI reserves the right to suspend or delete accounts that violate these Terms or pose security risks.


4. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful, harmful, or exploitative purpose.
  • Post or share offensive, explicit, or misleading content.
  • Attempt to reverse-engineer, scrape, or copy UNI's systems or data.
  • Interfere with security features or network operations.

UNI enforces strict moderation and automated detection to ensure safety and community integrity.


5. Privacy & Data

Your privacy matters. Our Privacy Policy explains how we collect, encrypt, and protect your data.

Key points:

  • We encrypt all PII (Personally Identifiable Information).
  • We never sell individualized data.
  • Aggregated and anonymized insights may be shared with trusted partners to improve services.

By using UNI, you consent to data processing consistent with our Privacy Policy.


6. Intellectual Property

All UNI content — including trademarks, logos, designs, text, graphics, and code — belongs to UNI or its licensors. You may not reproduce, distribute, or modify any UNI assets without prior written consent.

You retain ownership of content you create or upload but grant UNI a non-exclusive, royalty-free license to display, reproduce, and distribute it solely to operate and improve the Platform.


7. Subscriptions & Payments

Certain features (e.g., UNI Platinum or UNI Elite) may require a paid subscription.

  • Payments are processed through secure third-party services.
  • All fees are non-refundable except where required by law.
  • We may change pricing or features with notice.

8. Termination

You may delete your account anytime under Settings → Account → Delete Account.

UNI may suspend or terminate access if you violate these Terms, misuse the Platform, or engage in fraudulent activity. Upon termination, your license to use UNI immediately ends.


9. Disclaimers

  • UNI provides all content "as is" without warranty of any kind.
  • We do not guarantee the accuracy or availability of events, venues, or listings.
  • You are responsible for your personal safety and conduct at any event or location discovered through UNI.

We're here to help you have fun, not to babysit your life choices.


10. Limitation of Liability

To the fullest extent permitted by law, UNI and its affiliates are not liable for:

  • Indirect, incidental, or consequential damages;
  • Data loss, service interruptions, or third-party misconduct;
  • Events or experiences arranged through external providers.

Total liability under these Terms will not exceed the amount you paid to UNI in the past twelve months.


11. Indemnification

You agree to indemnify and hold harmless UNI, its officers, and affiliates from any claims, damages, or expenses arising from your misuse of the Platform or breach of these Terms.


12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved exclusively in Delaware state or federal courts.


13. Changes to Terms

We may revise these Terms from time to time. Updates take effect upon posting, and continued use of UNI constitutes acceptance of the new Terms.
